# Terms of Service

The practical terms for using the ShanVic site and working with us.

## When these terms apply

These terms apply to the ShanVic websites and public services provided by ShanVic & Co L.L.C.. Paid client work is also governed by the proposal, statement of work, invoice, or other agreement for that engagement. If those documents conflict with these site terms, the engagement agreement controls for the paid work.

## What we provide

ShanVic provides business analysis, strategy, software, systems, implementation, managed operations, and related work. A Clarity Brief may be provided at no charge and is an analysis of the information and evidence available at the time.

Our work supports business decisions. It is not legal, tax, accounting, investment, medical, or other regulated professional advice.

## Your part

Only share information you are allowed to share. Review decisions and deliverables before relying on them, protect credentials and systems you control, and tell us when relevant facts or requirements change.

## Paid engagements

Scope, price, currency, deposits, milestones, due dates, expenses, cancellation terms, and any project-specific rules are set in the applicable engagement documents. Online payment pages exist to pay agreed invoices; they do not create a separate purchase contract.

## Intellectual property and confidential information

You keep ownership of material you provide. ShanVic keeps ownership of its pre-existing methods, software, tools, templates, frameworks, and know-how. Rights in work created for a client are set by the applicable engagement agreement.

We treat nonpublic engagement information as confidential, subject to the agreement and ordinary exceptions for information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.

## Research, software, and third-party services

Research sources, AI-assisted tools, software libraries, links, and third-party services can be incomplete, unavailable, or wrong. We use review and verification in our work, but decisions with legal, financial, safety, or operational consequences should be checked at the level appropriate to the risk.

## Results and liability

Business outcomes depend on your decisions, implementation, markets, third parties, and changing conditions. We do not promise a specific revenue, savings, funding, growth, or other business result.

To the extent the law allows, ShanVic is not liable for indirect or consequential loss arising only from use of the public website. Liability for paid work is governed by the applicable engagement agreement. Rights and liabilities that cannot legally be excluded remain in place.

## Changes

We may update these site terms as the site or services change. Changes to an agreed client engagement are made under that engagement, not by silently changing this page.
